DECATUR ASA SOFTBALL UMPIRES ASSOCIATION

CONSTITUTION AND BY-LAWS

 

CONSTITUTION

 

ARTICLE I

 

NAMES AND OBJECTIVE:

SECTION 1:        The name of this association shall be the DECATUR ASA SOFTBALL UMPIRES ASSOCIATION.

SECTION 2:        The objective of this association shall be to Umpire Softball Games for the City and County Leagues with which we as an Association agree to.

 

ARTICLE II

 

MEMBERSHIP:

SECTION 1:        Members of this association shall be of two classifications, ACTIVE and ASSOCIATE.

SECTION 2:        In Active and Associate classification members must be 18 years of age, and have working rule knowledge and be registered with the ALABAMA AMATEUR SOFTBALL ASSOCIATION.

SECTION 3:        Associate members must serve two (2) years before being eligible for active membership. They shall be recommended to the voting members of the association for active membership by the Training/Membership Committee at the last called meeting of the Association at the end of the year. Those accepted will become Active members and will have voting rights immediately. Upon recommendation of the committee, active members or equivalent status from other association will be transferable, if approved by the active membership.

SECTION 4:        Associate members do not have the privilege of voting.

SECTION 5:        Rejection or ousting of any members, person or persons, shall be done by the Board of Directors, after recommendation by either the Training/Membership Committee, or Ethics Committee. All Board members must be present, all must vote, and a majority vote is required. The AASA shall be notified by letter of said decision.

SECTION 6:        In accordance with this Association's guidelines, not obtaining Active status after two (2) consecutive years shall be grounds for dismissal from the Association Roster.  Such person cannot reapply for membership for two (2) years.

 

SECTION 7:        All members Active and Associate must attend three regular meetings before the season begins and a Rules Clinic conducted by the AASA. They must also attend all other scheduled or called meetings of the Association or show good cause for failure to do so to the Booking Secretary in order to be eligible for game assignments.

SECTION 8:        Active status of any member who does not register in the previous year will be the same as a new member and will require vote by membership to become an active member again.

 

ARTICLE III

 

OFFICERS:

SECTION 1:        The officers of this association shall be President, Vice President, Secretary/Treasurer, and Booking Agent (or Booking Secretary).

SECTION 2:        Duties of the officers shall be shall be described in the By-laws.

SECTION 3:        Officers shall be elected at the last meeting of the year and take office immediately. This meeting will be in August.

SECTION 4:        Officers shall be elected for one (1) year and may succeed themselves.

SECTION 5:        Officers shall be elected in the manner prescribed in the By-Laws.

 

ARTICLE IV

 

THE BOARD OF DIRECTORS:

SECTION 1:        The Board of Directors shall consist of the President, Vice President, Secretary/Treasurer, Booking Agent and three (3) members elected by the membership.

SECTION 2:        The Board of Directors shall meet at the call of the President at such times as may be necessary.  When a special meeting is called, the purpose thereof shall be stated in the notice of said meeting. Final decision is left with the vote of the active members.

 

ARTICLE V

 

VACANCIES:

SECTION 1:        Any vacancy in any elected office shall be filled by vote of the active membership.

 

 

 

 

 

 

BY-LAWS

 

ARTICLE I

 

OFFICERS:

SECTION 1:        The President will preside at all meetings.  He/She will correspond between the Association and the leagues we agree to umpire for. He shall appoint on a yearly basis all necessary standing committee members required.

SECTION 2:        The Vice President shall be the chairman of the Training/Membership Committee.  He/She will see that the committee functions are properly carried out at all times.

SECTION 3:        The Secretary/Treasure will keep minutes of all meetings and see that the Constitution and By-Laws are current.  He/She will assist the Booking Agent in notifying the members of any special called meetings.

SECTION 4:        The Booking Agent/Secretary will be responsible for the assignment of all games and keeping all records straight with the AASA. With the President's consent, he may represent the Association in matters concerning the Association and the leagues we agree to umpire for.

 

ARTICLE II

 

DUTIES OF THE BOARD OF DIRECTORS:

SECTION 1:        The Board of Directors shall be responsible for the transaction of any business between regular meetings and shall serve as the policy-making body. It shall also create such Committees as may be necessary.

SECTION 2:        In the event any questions arise that are not covered by the Constitution or By-Laws, the action thereon by the Board of Directors shall be final.

 

ARTICLE III

 

MEETINGS:

SECTION 1:        The regular meetings of the association shall be in accordance with the requirements of this association. Other meetings will be held as necessary to conduct business and training of the association.

 

 

 

 

 

 

 

 

 

 

ARTICLE IV

 

ELECTIONS:

SECTION 1:        All officers named in the Constitution shall be nominated from the floor. Only active members shall be eligible to serve as officers.

SECTION 2:        A majority of all votes cast shall be necessary for election. In the event that any ballot cast does not show a majority for any nominee for any office, there shall be further ballots until a nominee shall have received a majority of all votes cast. Where there is only one candidate for any office election shall be by acclamation.

 

ARTICLE V

 

MEMBERSHIP:

SECTION 1:        Members of this association shall be Active and Associate.

SECTION 2:        Active members shall be those who are not in default of dues, and fall within the requirements of the Constitution. Active members shall comprise the voting membership of the Association.

SECTION 3:        Associate members do not have the privilege of voting or holding office. They also must comply with the Constitution requirements.                 

 

ARTICLE VI

 

FEES:

SECTION 1:        Association dues shall be paid on an individual basis to the Secretary/Treasurer before the season begins.

SECTION 2:        The fees shall be determined at the first meeting of each year by mutual agreement of the active membership.

SECTION 3:        Each member will pay the state fee prior to and in order to take the state exam.

 

ARTICLE VII

 

ETHICS:

SECTION 1:        Default of dues, fees, drinking, not meeting game assignments, arguing with players, coaches, and/or fans, and any unethical act by any member, shall be looked upon as a cause for removal from the association.

 

 

 

 

 

ARTICLE VIII

 

UNIFORMS:

SECTION 1:        ASA approved shirt with ASA lettering, Navy Blue Pants, Navy Blue/Black socks, Black shoes with black shoe laces, Black or Blue Belt, Navy Blue ASA Ball Bag, and an Approved Blue Fitted cap. Jacket shall be anything approved by the association for League Games.

 

ARTICLE IX

 

RESOLUTIONS:

SECTION 1:        Resolutions may be passed by a simple majority vote of association at any meeting.

 

ARTICLE X

 

AMENDMENTS:

SECTION 1:        The Constitution and By-Laws of this association may be amended by a 2/3 vote of members present.

 

ARTICLE XI

 

ADOPTION:

SECTION 1:        A 2/3 vote of those meeting to adopt the Constitution is necessary for adoption of said Constitution and By-Laws.

 

ARTICLE XII

 

TRAINING/MEMBERSHIP COMMITTEE:

SECTION 1:        This Committee will consist of the President, Vice-President, Booking Secretary and two (2) members appointed by the President.

SECTION 2:        This Committee will see that all Umpires are thoroughly aware of procedures for handling the games, also that all new Umpires have the opportunity to work under the supervision and instruction of this Committee.

SECTION 3:        This Committee will also actively recruit new Umpires for the association. Additionally, they shall screen all applicants and make recommendations to the association for Active Membership.

 

 

 

 

ARTICLE XIII

 

GREIVANCE COMMITTEE:

SECTION 1:        This committee will consist of three (3) members appointed by the President.

SECTION 2:        This committee will have the responsibility for hearing and receiving any complaint by a member Umpire against the Association or against another member of the association. This committee will make a full written report of its investigation to the Board of Directors along with recommendation of any necessary action.

 

SECTION 3:        No complaint against the association or any member of the association will be valid unless it is presented to the Committee in writing.

 

ARTICLE XIV

 

ETHICS COMMITTEE:

SECTION 1:        This Committee will consist of three (3) members appointed by the President.

SECTION 2:        This Committee shall have the responsibility to observe the conduct of Umpires at meetings, during and after games. It shall be their duty to hold meetings for the purpose of keeping all Umpires informed of the proper conduct and ethics of Umpires. They shall counsel individuals on personal problems and report wanton and/or repeated violations to the Board of Directors for disciplinary action.
